This Agreement shall all be governed and construed in accordance with the laws of The United States of America applicable to agreements made and to be performed in The United States of America. You agree that any legal action or proceeding between Ad Scams.info and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in The United States of America . Any cause of action or claim you may have with respect to the Service must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. Ad Scams.info failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. Ad Scams.info may assign its rights and duties under this Agreement to any party at any time without notice to you. 7.Release Because we are a venue, in the event that you have a dispute with one or more users postings,you agree to release Ad Scams.info, NWT Websites or any venture of the above party (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential)that would include claims of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. 8.Legal Disputes In the event a dispute arises between you and the site, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you and the site agree that any controversy or claim at law or equity that arises out of this Agreement or the site's services ("Claims") shall be resolved in accordance with one of the subsections below, or as otherwise mutually agreed upon in writing by the parties. Before resorting to these alternatives, the site strongly encourages users first to contact the site directly to seek a resolution. the site will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation, as an alternative to litigation. 8.1 Arbitration. For any Claim (including Claims for injunctive or other equitable relief) where the total amount of the award sought is less than $10,000, you or the site may elect to resolve the dispute through binding arbitration conducted by telephone, on-line, and/or based solely upon written submissions where no in-person appearance is required. In such cases, the arbitration shall be administered by Ad Scams, in accordance with their applicable rules, or any other established Ad Scams.info provider mutually agreed upon by the parties. Any judgment on the award rendered by the arbitrator may be entered in a kokomo court having jurisdiction thereof. 8.2 Court. Alternatively, any Claim may be adjudicated by a court of competent jurisdiction located in Howard County, Indiana or where the defendant is located (in the site''s case, Kokomo,Indiana,and in your case, your home address or principal place of business). You and the site agree to submit to the personal jurisdiction of the courts located within the county of Howard, Indiana. 8.3 Alternative Dispute Resolution. the site will consider use of other alternative forms of dispute resolution, such as binding arbitration to be held in Howard County, Indiana or another location mutually agreed upon by the parties. 8.4 Violations of Section 8. All Claims (including requests for injunctive or equitable relief) between the parties must be resolved using the dispute resolution mechanism that is selected in accordance with this Section by the site, either through a court filing or commencement of arbitration. Should either party file an action contrary to this Section 8, the other party may recover attorneys' fees and costs up to $1,000,000.00, provided that the party seeking the award has notified the other party in writing of the improperly filed Claim, and the other party has failed to withdraw the Claim.
